F&F Holdings (007700) Stock Outlook 2026: MLB and Discovery Royalties Versus the Holding-Company Discount

Is F&F Holdings Cheap, or Is the Discount Doing Its Job?

My read: F&F Holdings (007700) is a royalty stream wrapped in a holding-company discount. The growth story belongs to F&F (383220), the operating company. The holdco simply collects a slice of that growth as royalties and dividends, and that slice is priced at a multiple most foreign investors would find almost absurd. The low price-to-book is not a sign that nothing is earned. It is what the market charges for a structure it does not trust to return cash.

The company, formerly F&F, took its current form in 2022. The operating business runs MLB and Discovery Expedition in Korea and Asia, while the holdco owns the trademark rights and a stake in the operating company. A teenager buying an MLB cap in Seoul is, several steps removed, paying the holdco.

So this article asks two questions. How durable is that royalty stream, and what would actually close the discount? Everything else is detail.

👉 For the operating side of the same story, read the F&F (383220) stock outlook first.

How Does the Holdco Earn: Royalties Plus an Equity Stake?

Two income streams, one clean and one more conventional. Royalty income scales with F&F’s brand sales. Dividend income scales with F&F’s profits.

What I like about royalties is that the holdco bears almost none of the operating pain. No inventory markdowns, no store leases, no advertising budget. If clothes sell, it gets paid on revenue.

The catch is that “stable” only means stable while F&F sells. If MLB or Discovery cools with consumers, the holdco cools with them.

Is the Moat a Brand or a Contract?

This is the uncomfortable part. F&F built the brands locally, but the trademarks are licensed from Major League Baseball and Warner Bros. Discovery. So half the moat is execution and half is paper.

The execution half is real. F&F turned MLB into a lifestyle sportswear brand rather than a fan-merchandise line and, in Korea, effectively created the youth cap-and-sneaker category. It then repeated the formula in China. None of that is written in a license agreement. It is merchandising, distribution and trend instinct.

The paper half can change on renewal. Royalty rates, territories and exclusivity can shift, and a licensor that decides to go direct or raise terms would thin the moat fast. Compare the structure with Lotte Shopping (023530), where the asset base is physical and the brand risk is different in kind.

Why Do Holdco Discounts Exist, and What Closes Them?

Holding-company discounts are a chronic feature of Korean markets. A sum-of-the-parts value that exceeds market cap stays unrealized because minority shareholders expect cash to be retained, not distributed. The dual listing adds another haircut.

The routes out:

  • Higher dividend payouts. The easiest to observe
  • Buybacks and cancellations. Raise per-share value immediately
  • Operating-company reacceleration. Lifts royalties and dividends together
  • Policy momentum. Corporate-governance reform and value-up programs

My view: only the first two really move this stock. Growth is already priced into F&F itself. The holdco’s unique card is capital return.

How Does It Compare With Other Korean Names?

What stands out is that the holdco offers the same brand power as the operating company at a lower entry price, in exchange for duller price action. For another IP-royalty case, see SM Entertainment (041510).

What Are the Main Risks?

  1. License renewal. Worse terms or termination would hit royalties and operating profit together.
  2. China demand. The key overseas market; local competition and consumer sentiment set the growth rate.
  3. Fashion cycles. When the sportswear boom cools, markdowns and inventory hit the operating company first.
  4. Discount persistence. Without stronger payouts, low PBR is not cheap; it is just the price.
  5. Liquidity. Thinner trading than the operating company, so moves can be sharper.
  6. Governance. Ownership and succession questions shape capital-return policy.

Three Practical Scenarios for a Foreign Investor

Korean-listed shares are priced in won, and access is the first practical question. Foreigners can buy through global brokers with Korean market access, or register directly as foreign investors. Dividends face Korean withholding tax, which treaties may reduce, and you should check how your home country taxes capital gains and foreign dividends. For the general framework, see our US-focused capital gains tax guide.

Scenario 1: income hold. Collect dividends and wait for the discount to ease. Net yield is reduced by withholding, then by the won’s direction against your currency. A weaker won can erase a year of dividend.

Scenario 2: discount-closing bet. Treat a buyback or payout change as the catalyst. I would not put a date on it. Discounts in Korea can last years even when policy news is good.

Scenario 3: split with the operating company. Growth through F&F, discount recapture through the holdco. Both ride the same brands, so diversification is limited, but you blend price action with dividend stability.

In all three, currency is a second return driver. Hedge it or accept it, but size the position with the won in mind.

What is F&F Holdings and how is it different from F&F?

F&F Holdings (KRX: 007700, formerly just F&F) is the holding company created in a 2022 split. It owns a stake in operating company F&F (383220) and holds the brand trademarks for MLB and Discovery Expedition in its licensed territories, collecting royalties from F&F. F&F designs and sells the clothes; the holdco owns the paper.

Where does F&F Holdings make its money?

Mostly from two streams: royalties calculated on F&F's brand sales, and dividends from its F&F shares. Because the operating company carries inventory, store rent and marketing, the holdco's income is cleaner and less volatile than a typical apparel profit line.

Why does the stock trade at such a low price-to-book?

It is a classic Korean holding-company discount. Investors assume cash generated at the holdco will not reach minority shareholders in full, and the dual listing of holdco and operating company adds to the haircut. Buybacks, cancellations and higher payouts are what narrow it.

What happens if the MLB license is not renewed?

MLB is the engine of F&F's growth, but the trademark belongs to Major League Baseball, so the rights depend on a contract. Worse terms or non-renewal would hit royalties and the operating company's profit at the same time. Renewal disclosures deserve more attention than any single quarter.

Is F&F Holdings a good dividend stock?

It screens as a high-dividend name because royalties and F&F dividends are a strong source of cash, but the payout tracks F&F's results and is not guaranteed. Check the latest DPS and payout ratio in the company's filings before relying on any yield figure.

How does China affect F&F Holdings?

China is the main overseas growth market for both MLB and Discovery, so weaker Chinese consumption feeds straight into brand sales and therefore into royalties. The holdco is shielded from operating costs, but it is not shielded from a revenue slowdown.

Can a foreign investor buy F&F Holdings?

Yes. It trades on the Korea Exchange (KOSPI), and foreigners can buy through an international broker with Korean market access, or through a local broker after registering as a foreign investor. Dividends are subject to Korean withholding tax, which a tax treaty may reduce.

What currency risk comes with buying it?

The stock is priced in Korean won. If the won weakens against your home currency, your return shrinks even if the share price rises, and dividends are converted at the prevailing rate on payment. The operating company also has indirect FX exposure through overseas sales and imported inputs.

Which quarterly metrics matter most?

Brand-level sales growth at F&F for MLB and Discovery, China growth, royalty income at the holdco, dividend and buyback announcements, and the gap between market cap and the value of its stake plus brand rights. Any license-renewal notice belongs on the same list.
